PT Bakrieland Development Tbk. (ELTY) menyampaikan, perseroan melalui entitas anaknya, PT Mutiara Masyhur Sejahtera (MMS) melakukan pengambilalihan PT Graha Istana Nirwana (GIN) melalui konversi utang menjadi setoran modal.
Mengutip keterbukaan informasi Bursa Efek Indonesia (BEI), aksi korporasi tersebut telah memperoleh pengesahan dari Kementerian Hukum berdasarkan Keputusan Kementerian Hukum Republik Indonesia No. AHU-AH.01.09-0290997 tertanggal 20 Desember 2024.
Adapun nilai utang yang dikonversi senilai sebesar Rp 93.685.000.000. Manajemen menegaskan, tidak ada hubungan afiliasi antara kedua belah pihak.
“Transaksi konversi dan pengalihan konversi menjadi penyertaan saham ini bukan merupakan transaksi material atau transaksi afiliasi,” tulis manajemen, dikutip Senin (23/12).
Konversi utang menjadi penyertaan saham, terdiri dari sebesar Rp 12.500.000.000 akan diselesaikan melalui pengalihan saham milik pemegang saham GIN, PT Karunia Makmur Anugerah dan PT Karunia Makmur Bahagia sebanyak 12.500 lembar saham dengan nilai nominal Rp 1.000.000 kepada MMS.
Kemudian, sebesar Rp 81.185.000.000 di konversi menjadi 624.500 lembar saham seri baru pada GIN (Konversi) dengan harga per lembar saham sebesar Rp 130.000.
Perseroan melalui MMS, menguasai GIN 100% dan mengingat GIN memiliki hotel bintang 4 yang dikenal dengan Aston Sidoarjo City Hotel & Conference Center, maka investasi Perseroan pada GIN pada tahun-tahun mendatang akan berdampak pada peningkatan pendapatan berulang (recurring) bagi Perseroan dari penyewaan kamar hotel dan penjualan makanan dan minuman.
